Terms and conditions

Updated: 24 October 2026

About these terms

These terms apply to every service you buy from us through our website, client account, email or phone. Please read them before you place an order. By placing an order, you agree to them.

We are IBA Limited, trading as Form My Company (registered in Scotland, company number SC660379), 9a Tinto Place, Edinburgh EH6 5GD, Scotland. Email: info@formmycompany.co.uk. Phone: 0131 322 1309. Your contract is with IBA Limited.

In these terms, "we", "us" and "our" mean IBA Limited, trading as Form My Company. "You" means the person or business placing the order. A "consumer" is an individual acting mainly outside their trade, business or profession.

1. Our services

1.1 We provide company formation, company secretarial, registered address, mail handling, document and related services, as described on each service page at the time you order.

1.2 We act on your instructions and file information with Companies House, HMRC and other bodies on your behalf. We are not responsible for decisions made by those bodies, including how long they take.

1.3 We do not give legal, tax, accounting or financial advice. Any general information we give is not advice for your situation. You should take independent professional advice before making decisions.

1.4 Some services, such as accounts preparation, notarisation or courier delivery, are provided with partner firms. We remain your point of contact.

2. Orders and prices

2.1 A contract is formed when we confirm your order by email after payment.

2.2 Prices are shown in pounds sterling (GBP). We are VAT-registered and all prices include VAT at 20%. The VAT amount is shown separately on each price, at checkout and on your receipt. Formation package prices include the £100 Companies House incorporation fee. Other government fees are included only where the service page says so.

2.3 Payments are processed by our payment provider, Mollie. We start work only once payment has been received.

2.4 We may refuse or cancel an order before work starts, for example if a price was shown incorrectly. If we do, we will refund you in full.

3. Your obligations

3.1 You must give us complete, accurate and up-to-date information, and tell us promptly if anything changes.

3.2 You must have the consent of every person you ask us to appoint or name — including directors, secretaries, shareholders, members and people with significant control — and make sure they agree to the appointment and to their information being filed and, where required, made public.

3.3 You are responsible for checking the documents and information we prepare before we file them. Once something is filed with Companies House, correcting it may require a further filing and fee.

3.4 You must not use our services, or a company we form, for any unlawful purpose.

3.5 You are responsible for your company's ongoing legal duties, including filing confirmation statements, accounts and tax returns on time, unless you have bought a service from us to do that.

4. Identity verification, anti-money-laundering and sanctions

4.1 We are supervised for anti-money-laundering purposes and must comply with the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017. We must verify the identity of our clients and, where relevant, of directors, shareholders, beneficial owners and people with significant control.

4.2 You must provide the identity documents and information we ask for promptly. We may use electronic verification services.

4.3 Separately, directors and people with significant control must verify their identity with Companies House. A company cannot be formed until this is done. We are an Authorised Corporate Service Provider (ACSP) registered with Companies House and can carry out this verification for you where your order includes it. You may instead verify through GOV.UK One Login.

4.4 We may refuse to accept an order, pause work or end our services at any time if:

  • you do not provide the information we need for our checks
  • we are not satisfied with the results of our checks
  • we suspect the company may be used for an unlawful purpose
  • providing the service would breach any law or regulation

4.5 We will not act for any person or business that is subject to UK, UN, EU or US sanctions, or that is owned or controlled by a sanctioned person, or where the service would breach sanctions law. We screen clients and appointees against sanctions lists.

4.6 We may be required by law to report suspicions to the authorities, and we may not be allowed to tell you that we have done so.

4.7 If we refuse or end a service under this section, we will refund any amount paid for work not yet started, less any costs we have already incurred, unless the law prevents us from doing so.

5. Address services

5.1 Registered office, director service address, virtual office and mail handling services run for 12 months from the date the service starts, unless the service page says otherwise.

5.2 We will remind you before your service is due to renew. If you want to continue, you must pay the renewal fee before the expiry date.

5.3 If you do not renew, or if we end the service under these terms, you must change your registered office or service address at Companies House within 14 days. If you do not, we may notify Companies House that the address is no longer authorised and stop handling post for you.

5.4 You must not use our address as a place of trading, or tell customers to visit it, unless the service includes this.

5.5 We may refuse to accept, return or dispose of post that is unlawful, dangerous, unusually large, or not addressed to your company.

6. Companies House and other fees

6.1 Companies House fees, and any other government or third-party fees, are paid on your behalf. Once an application or filing has been submitted, these fees cannot be refunded, whether or not the application is accepted.

6.2 If Companies House rejects an application because of information you gave us, we may charge a reasonable fee to correct and resubmit it, plus any new government fee.

7. Cancellation rights for consumers

7.1 If you are a consumer, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you the right to cancel within 14 days of the day the contract is formed, without giving a reason.

7.2 To cancel, email info@formmycompany.co.uk or send us any other clear statement that you want to cancel.

7.3 If you ask us to start work within the 14-day cancellation period, you agree that:

  • if the service has been fully performed within that period, you lose your right to cancel. For example, once we have submitted your company to Companies House and it has been registered, the formation service is fully performed
  • if the service has been partly performed when you cancel, we may deduct an amount for the work already done and any fees already paid to third parties

7.4 When you place an order and ask us to begin straight away, we will ask you to confirm this.

7.5 We will refund any amount due within 14 days of receiving your cancellation, using the same payment method you used.

7.6 Business customers do not have a statutory right to cancel. Our refund policy still applies to them.

8. Our liability

8.1 We will provide our services with reasonable care and skill.

8.2 We are not liable for:

  • delays or decisions by Companies House, HMRC, banks or any other third party
  • loss caused by inaccurate or incomplete information you gave us
  • loss caused by you not meeting your company's legal obligations
  • any loss of profit, revenue, business, goodwill or opportunity
  • any indirect or consequential loss

8.3 Our total liability to you for any claim relating to an order is limited to the amount you paid for that order.

8.4 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law. Nothing in these terms affects your statutory rights as a consumer.

9. Client account

9.1 We give you access to an online client account. You sign in using a secure link sent to your email address. You must keep access to your email account secure and tell us straight away if you think someone else has accessed your client account.

9.2 You can use your account to complete company details, upload documents, track orders, download documents and message us. Messages sent through the account are treated as written communication.

9.3 We aim to keep the account available at all times, but we do not guarantee uninterrupted access.

10. Ending our services

10.1 You can end an ongoing service at any time by telling us in writing. Fees already paid for a service period that has started are not refunded unless our refund policy says otherwise.

10.2 We may end a service with immediate effect if you seriously break these terms, do not pay, act abusively towards our staff, or for any reason in section 4.

11. Data protection

We handle personal data as described in our privacy policy.

12. Complaints

If you are not happy with our service, please email info@formmycompany.co.uk. We will acknowledge your complaint within 2 working days and aim to resolve it within 14 days.

13. General

13.1 We may change these terms from time to time. The terms in force when you place an order apply to that order.

13.2 If any part of these terms is found to be invalid, the rest remains in force.

13.3 No one else has any rights under these terms.

14. Governing law

These terms are governed by the law of Scotland. Disputes will be dealt with by the Scottish courts. If you are a consumer living elsewhere in the UK, you may also bring proceedings in the courts of the part of the UK where you live.
