What the law requires
Under section 113 of the Companies Act 2006, every company must keep a register of members: a list of its shareholders, the shares each holds and the dates they became and stopped being members. The register must be kept at the registered office or a single alternative inspection location (SAIL), and it must be available for inspection.
Companies must also keep records of their decisions:
- minutes of all directors' meetings, kept for at least 10 years from the date of the meeting (section 248)
- copies of members' written resolutions and minutes of general meetings, kept for at least 10 years (section 355)
What changed in 2025 and 2026
The Economic Crime and Corporate Transparency Act 2023 changed the rules on company registers:
- From 18 November 2025, companies no longer have to keep their own registers of directors, directors' residential addresses, secretaries and people with significant control. This information is still filed with Companies House and must be kept up to date there.
- The option to keep officer information only on the central Companies House register ended on 18 November 2025.
- The option to keep members' information only on the central register ended on 26 January 2026. Companies that used it must now keep a full register of members themselves.
If your company relied on Companies House for its register of members, it now needs its own. This book is a simple way to have one.
Why keep the other records too
Even where a register is no longer a legal duty, a clear record of who your directors and PSCs have been, when shares were issued and what charges exist is useful. Banks, buyers, investors and lawyers often ask for this history, and Companies House shows only what has been filed.
How it works
- Order online and give us your company name and number.
- We compare your records with the Companies House register and send you a draft of the registers.
- You confirm the shareholder details, including any transfers that have not been filed yet.
- We print and bind the book and post it to you.
For addresses abroad, we send it with our international courier service, charged separately.
What you need to provide
- your company name and number
- shareholder names and addresses, share classes and numbers of shares
- details of any share allotments or transfers since incorporation
- details of any charges (secured loans)
Keeping it up to date
A register is only useful if it is current. Update the register of members whenever shares are issued or transferred, and record each board meeting and resolution. When you issue new shares, see Share Issue and Transfer. For minutes of a specific decision, see Resolutions and Minutes.
We are not lawyers. If you are unsure what your company must record for a particular decision, speak to a solicitor or accountant.
Common mistakes
- Assuming Companies House holds your register of members for you
- Not recording share transfers in the register
- Holding board meetings without writing minutes
- Keeping the register somewhere other than the registered office or SAIL
Frequently asked questions
Do I still need a register of directors?
Since 18 November 2025, companies no longer have to keep their own register of directors, secretaries or PSCs. The information is still filed with Companies House. The register of members is still required.
Can Companies House keep my register of members?
Not any more. The option to keep members' information only on the central register ended on 26 January 2026. Your company must keep its own register of members.
Where must the register of members be kept?
At the registered office or a single alternative inspection location (SAIL), and available for inspection.
How long must minutes be kept?
Minutes of directors' meetings and records of members' resolutions must be kept for at least 10 years.
What if my records do not match Companies House?
We point out any differences before printing. Some, such as a share transfer that was never reported, may need a filing to fix.
Is the minute book included in any package?
Our formation packages include digital company registers. The printed, bound minute book is a separate order.
