What a PSC is
A person with significant control (PSC) is someone who owns or controls a company. In broad terms, a person is a PSC if they:
- hold more than 25% of the shares
- hold more than 25% of the voting rights
- can appoint or remove a majority of the directors
- have the right to exercise, or actually exercise, significant influence or control over the company
Control through a trust or a firm can also count. A company that owns another UK company can be a "relevant legal entity" and is recorded in a similar way. If the conditions are unclear in your case, for example with trusts or overseas holding structures, we explain the rules but you may need legal advice.
When you need an update
- someone new becomes a PSC, for example after a share transfer or new share issue
- a PSC stops being one, for example after selling shares
- a PSC's details change, such as their name, country of residence or nature of control
- the company's PSC statements change, for example it now has no PSC or is still investigating
The PSC forms
Companies House uses a family of forms:
- PSC01, PSC02, PSC03 — notify a new individual PSC, relevant legal entity or other registrable person
- PSC04, PSC05, PSC06 — change the details of each of these
- PSC07 — notify that a PSC has ceased
- PSC08, PSC09 — notify or update a PSC statement
We pick the right one, so you do not have to. There is no Companies House fee for PSC filings.
The PSC information is now kept at Companies House
Since 18 November 2025 companies no longer have to keep their own separate PSC register: the PSC information is held on the public register at Companies House instead. That makes it even more important that the details there are right and up to date. The company must still always have PSC information on record: if there is no registrable person, a statement saying so is filed instead.
The 14-day timing
Once the company has confirmed the change and the person's details, it must notify Companies House within 14 days. The simplest approach is to tell us as soon as the change happens, and we file straight away.
Identity verification for PSCs
Since 18 November 2025, every individual PSC must verify their identity with Companies House. A new PSC gives their personal code when they are added, or within 14 days. If they have not verified yet, we can do it as a Companies House Authorised Corporate Service Provider (ACSP) through our Identity Verification service, remotely and from anywhere in the world. Existing PSCs have their own 14-day windows during the transition.
How it works

- We check the shareholdings and control rights and confirm who is a PSC.
- We check the person's identity verification and personal code.

Common mistakes
- Transferring shares but forgetting the PSC filing
- Recording a PSC's date of change incorrectly
- Leaving a former PSC on the register after they sell
- Missing a PSC's identity verification deadline
PSC changes often come with a share issue or transfer. Up to 4 routine changes a year, including PSC updates, are included in our Annual Compliance Plan.
Frequently asked questions
Is there a Companies House fee for PSC filings?
No. There is no Companies House fee for PSC filings. Our £95 covers working out the right form, preparing it and filing it.
How long do I have to report a PSC change?
The company must notify Companies House within 14 days of confirming the change. It is best to do it straight away.
Does a new PSC need to verify their identity?
Yes. Every individual PSC must verify with Companies House and give their personal code when added or within 14 days. We can verify them for £75 per person.
What if my company has no PSC?
The company must still file a statement with Companies House saying that it has no registrable person, and keep it up to date.
Which form do I need to remove a PSC?
Form PSC07 records that a person has ceased to be a PSC. We file it with the date they stopped meeting the conditions.
Is a 25% shareholder a PSC?
Not on shares alone. The threshold is more than 25%, so exactly 25% does not meet that condition. They could still be a PSC through votes or other control.
Do I still need to keep my own PSC register?
No. Since 18 November 2025 companies don't have to keep a separate PSC register of their own. The information is held at Companies House, so changes must be filed there within 14 days.
