Certificate of Good Standing
At Form My Company, we help businesses obtain an official Certificate of Good Standing, confirming that a company is properly registered and meets all legal requirements. This document is commonly requested by banks, investors, and government authorities to confirm the legal status of a business.
Certificate of Good Standing
A Certificate of Good Standing is official proof that a business has been properly managed. It demonstrates that since the company’s incorporation, it has remained active and continuously in operation. Such a certificate can only be issued if there are no ongoing actions to remove the company from the official registry.
At Form My Company, we issue a Certificate of Good Standing only when your company is fully up to date with all filings. Certain requirements must be met before we can proceed: for private limited companies, there must be at least one director who is a natural person. For public limited companies, the certificate can be issued if the company has at least one secretary and two directors, including at least one natural person.
Do I Require a Certificate of Good Standing?
You may need a Certificate of Good Standing if your company plans to conduct business internationally. When expanding to other countries, local authorities often require the certificate to confirm that your business is properly formed and legitimate. It demonstrates that your company has been correctly managed, filed all necessary paperwork since its incorporation, and has no outstanding fees.
A certificate can also be useful to show potential clients and partners that your business is managed correctly. It may sometimes be required when applying for loans, selling your business, or forming a partnership, although additional conditions might apply in those situations.
What information is included on the certificate?
Form My Company obtains the certificate from Companies House, verifying that your business is in good standing and has met all statutory and regulatory obligations.
The certificate includes essential company information such as:
-
Names of directors
-
Registered office address
-
Issued capital
-
List of subscribers
-
Date of incorporation
-
Confirmation that all filings are up to date
What is a Certificate of Good Standing Used For?
A Certificate of Good Standing can be used for various purposes. Some countries require it for trading or opening bank accounts abroad. It is also helpful for demonstrating to clients, partners, and financial institutions that your company is operating correctly and compliant with all regulations.
